1. Definitions & Interpretation
- Applications / Kaidra.AI: The Kaidra.AI software platform, including all modules, features, analytics tools, and the AI-based sales agent.
- Customer / You: The business entity (e.g., fitness studio, salon, spa, clinic, gym, physiotherapy or rehabilitation centre) subscribing to the Service.
- Commencement Date: The start date stated in your Order Confirmation.
- Customer Data: Any data uploaded, entered, or generated through use of the Service.
- Fees: All charges payable for the use of Kaidra.AI.
- Users: Authorised members of your organisation who access the Service.
These Terms, together with your Order Confirmation and our Privacy Policy, form the Service Agreement.
2. Service Provision
- Kaidra.AI provides access to its platform and AI-based sales agent from the Commencement Date on a subscription basis.
- We aim for continuous Service availability but may conduct maintenance or upgrades when required.
- The Service is intended solely for legitimate business use in the fitness, beauty, wellness, and healthcare sectors.
3. Fees & Payment
- Fees and payment terms are specified in your Order Confirmation.
- Invoices are payable within 7 days of issue.
- Late or failed payments may result in temporary suspension of access.
- Kaidra.AI may adjust Fees with 30 days' written notice.
- All taxes, transaction or gateway charges are the Customer's responsibility.
4. Use of Service
- You must ensure that only authorised Users access the Service for internal business purposes.
- Sharing, sublicensing, or reselling access is strictly prohibited.
- You are responsible for all activities conducted under your account.
- You must comply with all applicable laws and regulations, including data-protection and consumer-protection laws.
- Kaidra.AI may monitor usage to maintain performance, security, and compliance.
5. AI-Based Sales Agent Disclaimer
- Kaidra.AI uses artificial intelligence to act as a digital sales agent. It may engage customers, answer queries, and provide automated recommendations.
- While Kaidra.AI is designed to improve business efficiency, its responses are generated automatically and may occasionally contain inaccuracies or incomplete information.
- Kaidra.AI does not guarantee the accuracy, reliability, or completeness of any AI-generated content, advice, or response.
- You acknowledge that Kaidra.AI shall not be liable for any loss, damage, or consequence arising from actions or decisions taken based on AI outputs.
- Customers must independently verify any information before relying on it for sales, operational, or business decisions.
6. Data & Security
- All Customer Data remains your property.
- Kaidra.AI implements appropriate security measures and regular backups to protect data integrity.
- You are responsible for ensuring that data entered (including customer or client data) is lawfully collected and used.
- Kaidra.AI may use anonymised and aggregated data to improve system performance and AI learning, without identifying any individual or Customer.
7. Support & Maintenance
- Standard support is available during Business Hours (9:00 am – 5:00 pm, Monday to Friday, Singapore time) via email or phone.
- Scheduled maintenance will be notified in advance where possible.
- Urgent corrective work may occur without notice if required for security or performance.
8. Intellectual Property
- All intellectual property in Kaidra.AI software, infrastructure, and materials remains the exclusive property of Kaidra.AI.
- You may not copy, modify, reverse-engineer, or redistribute any part of the Service.
- Customer-owned data and brand assets remain your property.
9. Confidentiality
Both parties agree to keep all non-public business, technical, and operational information confidential during the Term and for five (5) years after termination, except where disclosure is legally required.
10. Liability
- Kaidra.AI is not liable for indirect, incidental, or consequential losses, including business interruption, loss of profit, or data loss.
- Our total liability for any direct claim is limited to SGD 2,000 per incident.
- Nothing in these Terms limits liability for death, personal injury, or fraud.
- Kaidra.AI is not responsible for any commercial or operational decision made using information from the AI sales agent.
11. Termination
- Either party may terminate the Service with 60 days' written notice before renewal.
- Kaidra.AI may suspend or terminate the Service for non-payment (exceeding 30 days) or material breach.
- Upon termination, access will cease, and Customer Data may be deleted or anonymised after 30 days, unless required by law to retain it.
12. Governing Law & Dispute Resolution
- These Terms are governed by the laws of the Republic of Singapore.
- Any dispute will be resolved by arbitration in Singapore under the Singapore International Arbitration Centre (SIAC) Rules, in English, by a single arbitrator.
- The arbitration award shall be final and binding on both parties.
13. General Terms
- These Terms do not create a partnership, agency, or employment relationship.
- You may not assign or transfer your rights without Kaidra.AI's consent.
- If any provision is held invalid, the remaining provisions remain effective.
- This Agreement supersedes all prior discussions and agreements.
- Unless you opt out in writing, Kaidra.AI may reference your business name or logo in its marketing materials.
